This online due diligence room is unique to Chapman Tripp. It is the on-line equivalent of a physical data room.
DataSpace™ eliminates the need to visit offices to view documents, and avoids duplicating large volumes of paper. We have used it to support some of New Zealand’s largest commercial transactions – including the sale of UnitedNetworks to Vector in 2002 and the sale of National Bank to ANZ in 2003.
DataSpace™ is a secure online facility allowing rapid inspection of company documents, exchange of questions and answers, and publication of all relevant transaction documentation throughout the sale process.
Regardless of location, parties in a transaction can use DataSpace™ securely 24 hours a day, seven days each week for the life of their project.
WHAT ARE THE BENEFITS OF USING DATASPACE™?
Many people can view documents at one time, facilitating a speedy and efficient process.
Because documents can be viewed at any time, from any place, DataSpace™ provides convenience and flexibility for users, particularly if overseas or spread around New Zealand.
Access is by registered users only, meaning DataSpace™ is more secure than email or fax.
Users remain anonymous to each other, ensuring confidentiality.
Users can more easily select which documents they want to view, saving time and hassle.
Updates and notices can be posted quickly and simply, saving time and ensuring consistent treatment of all DataSpace™ users.
DataSpace™ is flexible and has a variety of uses other than due diligence. It can be utilised for:
Litigation (discovery, witnesses and pleadings)
Deals (e.g. posting draft contracts and inviting comments from different parties, and posting all main documents of a transaction, either on completion or during negotiations for a deal)
Data storage (non-project specific) i.e. providing off-site data backup.
SECURITY
DataSpace™ uses sophisticated methods for the protection of information from unauthorised access. These include the use of digital certificates which allows only those PC’s that have been installed with a digital certificate to access DataSpace™. Each user is allocated a name and password, and manual safeguards, including cross-checking by our IT team, ensure that each person who gains access is a certified user. Finally, once a user is in DataSpace™, any data being viewed from the site on their PC is encypted or coded while it is being transferred.
