​Luke advises clients on a broad range of banking and finance transactions, with a particular focus on capital markets.

He also advises clients on the impact of the Financial Markets Conduct Act 2013 in relation to debt securities and derivatives.

Luke joined Chapman Tripp in January 2015.  He previously worked at Linklaters in London and Hong Kong, and has significant experience advising on debt and equity-linked capital markets transactions including EMTN and commercial paper programmes, convertible and exchangeable bonds, regulatory capital and liability management.

 

Luke has advised:

  • on offers of debt securities to retail investors under the Securities Act 1978 and the Financial Markets Conduct Act, including the establishment of CCB NZ’s retail medium term note programme under the Financial Markets Conduct Act
  • derivatives issuers in relation to regulation and licensing under the Financial Markets Conduct Act
  • on applications to, and discussions with, regulators including the Financial Markets Authority
  • international issuers and financial institutions on wholesale bond issues into New Zealand off their EMTN and AMTN programme documents
  • on a wide variety of international capital markets transactions, including Renminbi bonds, secured and unsecured equity-linked bonds, warrants, subordinated bonds, high yield, guarantee and keepwell structures and tender and exchange offers.  Issuers have included banks, corporates in Europe, Asia and the Middle East, sovereigns and supranational organisations, and
  • on a range of facility agreements, security agreements and guarantees.
