The Companies and Limited Partnership Amendments Bill is an omnibus piece of legislation which proposes to criminalise certain directors’ duties and introduce changes to company registration provisions and to the treatment of amalgamations and schemes of arrangement by companies which are subject to the Takeovers Code.

Arrangements and amalgamations
This submission argues that the Bill as drafted is too broad and will also capture legitimate transactions, to the potential detriment of the economy. We propose a series of technical amendments designed to improve the Bill’s aim without in any way reducing its firepower.
